GoPro set a $1.14 per share payout in the Starman merger
Markiplier's disclosed 13.5 million shares could yield about $15.4 million in cash when the $285 million merger closes.
GoPro and Starman Optical signed a definitive merger agreement on Sept. 1. GoPro said shareholders will receive $285 million in aggregate cash, equal to $1.14 per share, and will keep roughly 10% of the combined company, which will stay listed on Nasdaq.
Markiplier holds about 8.5% of GoPro after an Aug. 20 filing listed 13.5 million Class A shares in Mark Edward Fischbach's name. At the announced $1.14 rate, that block would pay out about $15.4 million in cash, subject to adjustment for net working capital at closing.
GoPro also said it will repay about $92 million in debt when the deal closes. The boards of both companies approved the transaction, which still needs stockholder and regulatory sign-off.
GoPro shares reached $1.58 on Sept. 1 after the announcement and later traded near $1.23. Fischbach had said the stock looked undervalued when he built the position this summer.
GoPro expects the merger to close by year-end 2026.
